Vendor Terms

Effective Date: 1 August 2025 These Vendor Terms and Conditions (“Terms”) govern your relationship with B2B Dost (“we”, “us”, “our”) when registering as a vendor or third-party service provider on our platform, including but not limited to accessing or providing services through https://api.b2bdost.com/. By registering as a vendor, you agree to comply with the following terms: 1. Definitions Vendor: Any individual or business entity that provides services, products, or integrations through or in conjunction with B2B Dost. Platform: Refers to https://api.b2bdost.com/ and related services, including APIs and partner portals. Client: Any business or user utilizing vendor-provided services through the B2B Dost platform. 2. Vendor Eligibility Vendors must have a valid business registration, GST number (where applicable), and all necessary licenses for the services offered. You represent and warrant that all provided information is accurate and up-to-date. 3. Service Quality & Obligations Vendors must provide services as advertised, maintain quality standards, and ensure timely delivery. All engagements with clients must be handled professionally and in accordance with B2B Dost’s values and policies. 4. Compliance with WhatsApp API Standards Vendors offering services related to the WhatsApp Business API must comply with Meta’s Business and Messaging Policies, including opt-in collection, message template approval, and data protection. Misuse of WhatsApp’s infrastructure, template spamming, or misrepresentation may lead to termination of your vendor status. 5. Data Privacy & Confidentiality Vendors must ensure secure handling of client data and agree not to share, sell, or misuse any confidential or personal information obtained through the platform. All communications and data shared must comply with applicable privacy regulations (e.g., GDPR, India’s DPDP Act). 6. Payments & Fees All commissions, subscription fees, or payments due to B2B Dost must be paid as agreed. Vendors are responsible for collecting payment from clients unless otherwise arranged through B2B Dost’s invoicing system. 7. Intellectual Property Vendors retain ownership of their proprietary content but grant B2B Dost a license to display, promote, and market their services on the platform. Use of B2B Dost branding or official WhatsApp Business logos must be pre-approved. 8. Vendor Conduct Vendors must not: Misrepresent services, pricing, or features. Engage in misleading advertising, spam, or unethical sales practices. Attempt to circumvent the platform or redirect users off-platform without written approval. 9. Termination B2B Dost may suspend or terminate your vendor access at any time for breach of these Terms or if deemed necessary to protect users, platform integrity, or compliance. Vendors may terminate their engagement without prior notice. 10. Liability & Indemnity Vendors agree to indemnify B2B Dost against any claims, damages, or losses arising from their services, misconduct, or breach of these Terms. B2B Dost is not liable for any disputes between vendors and clients; however, we may mediate at our discretion. 11. Modifications to Terms We reserve the right to update these Terms at any time. Continued participation as a vendor constitutes acceptance of the updated Terms. 12. Governing Law These Terms shall be governed by the laws of [Your Applicable Jurisdiction], and any disputes shall be resolved in the courts located in Jaipur. 13.
